These Terms of Service (“Terms”) govern access to and use of the YOUUcheck platform, website, applications, tools, databases, reports, social features, and related services (collectively, the “Services”). The Services are operated by YOUU Limited (“YOUUcheck”, “we”, “us”, or “our”), a company based in Hong Kong SAR with its registered address at RM 1303, 13/F, Multifield Commercial Centre, Shanghai Street, Mongkok, Hong Kong. These Terms apply to every person or organisation that accesses or uses the Services in any role, including content providers, customers, clients, property owners, service providers, contractors, designers, freelancers, registered companies, consultants, suppliers, invited project participants, account administrators, and any other users. By creating an account, accessing the Services, uploading content, submitting project information, purchasing or using Tickens, or using any feature of YOUUcheck, you agree, in the capacity in which you use the Services, to be bound by these Terms and by the separate YOUUcheck Privacy and Data Protection Policy.
YOUUcheck is an online project management and business discovery platform intended to help property owners, clients, designers, contractors, freelancers, registered companies, and other relevant project participants manage project schedules, budgets, communications, records, and reports, and to share project-related content such as photos, short videos, updates, and reviews. Some parts of the Services may also allow the public to discover individual freelancers, registered professionals, and companies that have registered on the platform, and to review profile information made available through the Services.

1.1 Eligibility and Authority
You may use the Services only if you can form a legally binding agreement under applicable law. If you are below the age of majority in your jurisdiction, you may use the Services only with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf. If you use the Services for or on behalf of a company, partnership, studio, firm, contractor, or other organisation, you represent and warrant that you are authorised to bind that organisation to these Terms, and references to “you” will include that organisation.

1.2 Account Registration and Security
You may need to create an account to access certain features. You agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for maintaining the confidentiality of your login credentials, for all activities conducted through your account, and for notifying us promptly at info@youucheck.com if you suspect unauthorised access, misuse, or a security incident affecting your account.

1.3 Service Features and Availability
We may add, remove, modify, suspend, or discontinue any part of the Services at any time, including features related to project management, social posting, company listings, messaging, budgeting tools, report generation, token usage, integrations, and account tiers. We will use reasonable efforts to give notice of material adverse changes where practicable, but we do not guarantee uninterrupted availability of the Services or of any particular feature in any country or region.

1.3A Platform Role; No Responsibility for User Contracts, Quotations, or Project Performance
YOUUcheck is a technology platform that provides tools for users to upload and manage content, follow project schedules through calendar and project management features, update quotations or project item records, communicate with relevant project participants, maintain records, and access platform-generated reports or database features. YOUUcheck does not itself provide design, contracting, construction, project management, supervision, inspection, certification, agency, brokerage, insurance, escrow, payment guarantee, legal, financial, or professional advisory services unless expressly stated in a separate written agreement.
YOUUcheck is not a party to, and is not responsible for, any contract, quotation, variation order, invoice, payment arrangement, appointment, engagement, project agreement, design instruction, construction work, supply of materials, professional service, or other transaction or relationship entered into between users, including between property owners, clients, designers, contractors, freelancers, companies, consultants, suppliers, or other project participants. Users are solely responsible for negotiating, reviewing, accepting, performing, documenting, enforcing, and complying with their own contracts, quotations, schedules, budgets, specifications, licences, permits, professional duties, insurance, tax obligations, safety requirements, and legal obligations.
Any quotation, budget, calendar entry, schedule, project item, variation, progress update, message, uploaded document, photo, video, report, review, rating, company profile, freelancer profile, or other material created, uploaded, changed, approved, shared, or relied on through the Services is user-provided or platform-processed information and does not constitute approval, endorsement, verification, certification, professional advice, or acceptance of responsibility by YOUUcheck. Users must independently verify all project information, contractual terms, prices, quantities, deadlines, work quality, credentials, licences, permits, site conditions, legal requirements, and professional advice before acting on them.
To the maximum extent permitted by applicable law, YOUUcheck is not liable for any loss, damage, dispute, delay, defect, non-payment, overpayment, underpayment, misquotation, cost overrun, schedule change, missed deadline, poor workmanship, defective design, unsafe work, regulatory non-compliance, inaccurate upload, misleading profile, user misconduct, or failed transaction arising from or relating to user contracts, user content, user communications, project performance, quotation updates, calendar use, ratings, reviews, rankings, or reliance on information made available through the Services. We may, but are not obliged to, assist with record retrieval, moderation, complaint handling, or platform enforcement where we consider it appropriate.

1.4 Tickens (悠币), Paid Services, Billing, and Refunds
Certain features of the Services require payment, including the purchase and use of platform tokens. “Tickens” is the token name used on the YOUUcheck platform and corresponds to the Chinese token name “悠币”. Payments for Tickens and paid features are payments for access to and use of YOUUcheck platform services, including eligible project management service periods and other service functions that we specify from time to time. Tickens may be used for eligible functions that we specify from time to time, including access to project management service periods and the generation or acquisition of project-related reports. Tickens are licensed, not sold, have no cash value, are not bank deposits, are not redeemable for money except where required by applicable law, and do not constitute personal property. Unless we specify otherwise, prepaid Tickens expire one year from the date of purchase if they have not been used before that date. We may determine pricing, packaging, service conversion rules, and eligibility criteria for Tickens and related paid features at our discretion, subject to applicable law.
Payments may be processed by third-party providers, including AsiaPay. By submitting payment details, you authorise the relevant payment processor and us to charge the applicable fees, taxes, and charges. Your use of third-party payment services may be subject to separate terms imposed by those providers. We do not store full payment card data when payment processing is handled by a third-party processor.
Refunds are available only where a user mistakenly purchases Tickens and requests a refund before those Tickens have been used. Once Tickens are used to open, activate, extend, or access a project management service period, the relevant Tickens are treated as consumed and are non-refundable, except where a refund is required by applicable law. If you believe you mistakenly purchased Tickens, you must email info@youucheck.com within 7 days after the relevant purchase, explain the mistake, and provide sufficient information for us to identify the transaction. No refund will be provided because another user fails to pay you, because a project party does not perform its obligations, or because you are not satisfied with services, work, quotations, project outcomes, communications, ratings, reviews, or performance provided by another user or third party. Nothing in this section limits any non-excludable consumer rights or remedies that you may have under applicable law.

1.5 User Content and Platform Licence
You may upload, submit, publish, store, transmit, or share content through the Services, including project records, schedules, budgets, messages, posts, comments, company information, photos, videos, documents, reviews, and other materials (collectively, “User Content”). You retain ownership of your User Content as between you and us, but you grant us a non-exclusive, worldwide, royalty-free, transferable, sublicensable licence to host, store, reproduce, process, adapt, publish, display, distribute, communicate, and otherwise use that User Content as reasonably necessary to operate, secure, improve, support, back up, moderate, analyse, promote, and provide the Services, and to comply with law.
You represent and warrant that you have all rights, consents, permissions, and legal bases necessary to upload and use your User Content and to grant the rights described in these Terms. You remain solely responsible for your User Content and for the consequences of submitting or sharing it. We may remove, restrict, review, or disable User Content if we believe it violates these Terms, our policies, applicable law, third-party rights, or the safety, integrity, or operation of the Services.

1.6 Evaluation, Ratings, Validation, and Rankings
YOUUcheck may provide an evaluation and rating system that allows eligible clients, property owners, or other authorised project stakeholders to submit assessments during the progress of a project and after project completion. Ratings may include an overall score based on a 5-star system, together with additional category-based scoring, written comments, and other structured feedback fields that we may introduce from time to time. By submitting a rating or review, you represent and warrant that your assessment is honest, based on genuine project experience, and does not contain false, misleading, defamatory, retaliatory, abusive, or unlawful content.
YOUUcheck may review, verify, moderate, delay publication of, reject, remove, adjust the visibility of, or otherwise manage ratings and reviews where we believe this is necessary to assess authenticity, relevance, duplication, conflicts of interest, suspicious activity, manipulation, policy compliance, legal compliance, or platform integrity. We may use automated tools, manual review, project record checks, account information, supporting documents, usage patterns, and other signals to evaluate whether submitted ratings appear valid. We do not guarantee that any rating will be published, retained, weighted, or displayed in the form originally submitted.
Validated ratings and related scoring data may be stored in YOUUcheck’s databases and used to generate summaries, profile scores, benchmark indicators, and ranking lists for projects, service providers, companies, categories, or other entities or groupings available through the Services. YOUUcheck may determine the methodology, weighting, eligibility criteria, categories, display format, update frequency, and publication rules for any score, index, or ranking in its discretion, provided that we may change such methodology from time to time to improve fairness, reliability, and usefulness. Rankings and scores are informational tools only and do not constitute guarantees, endorsements, certifications, or professional advice.

1.7 Company Listings, Public Information, and Social Features
YOUUcheck may include company listing, profile, search, recommendation, public contact, or discovery features. Publicly visible information may include company names, business descriptions, service categories, project showcases, reviews, and other content that account holders choose to publish or that they authorise us to display. You must ensure that any company or profile information you provide is lawful, accurate, not misleading, and kept up to date. We may label, rank, display, de-rank, suspend, or remove listings and social content in our discretion, including where necessary for legal compliance, user trust, safety, or platform integrity.

1.8 Acceptable Conduct
You must use the Services only for lawful purposes and in compliance with these Terms and the Acceptable Use Policy below. Without limitation, you must not misuse the Services, interfere with platform security, upload unlawful or infringing material, impersonate others, scrape protected data without authorisation, manipulate project or company information in a deceptive way, distribute malware, or use the Services in a manner that could harm us, our users, third parties, or the public.

1.9 Third-Party Services
The Services may interoperate with, link to, or rely on third-party services, content, software, devices, hosting providers, payment processors, communications channels, and other tools. We are not responsible for the availability, accuracy, security, legality, or performance of third-party offerings, and your use of them may be subject to separate third-party terms and privacy practices.

1.10 Intellectual Property
The Services, including software, design, branding, text, interfaces, databases, selection and arrangement of content, and all related intellectual property rights, are owned by or licensed to YOUUcheck and are protected by applicable laws. Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you by implication, estoppel, or otherwise. You may not copy, modify, reverse engineer, create derivative works from, distribute, sell, lease, or exploit any part of the Services except as permitted by law or with our prior written consent.

1.11 Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. While we use reasonable care and skill in providing the Services, we do not guarantee uninterrupted operation, complete accuracy, availability in every location, compatibility with every device, or that the Services will be free from bugs, delays, errors, data loss, or security vulnerabilities. YOUUcheck does not provide professional legal, financial, engineering, construction, design, or regulatory advice through the platform unless expressly stated otherwise.

1.12 Limitation of Liability
To the maximum extent permitted by applicable law, neither YOUUcheck nor its directors, officers, employees, affiliates, licensors, or service providers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, opportunities, or business interruption arising out of or relating to the Services or these Terms. Our aggregate liability for claims arising out of or relating to the Services will not exceed the greater of: (a) the amount you paid to us for the specific paid service giving rise to the claim during the 6 months before the event giving rise to liability; or (b) USD100, except where a higher amount is required by non-excludable law.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, wilful misconduct, gross negligence where non-excludable, or any other liability that cannot lawfully be excluded or limited.

1.13 Suspension and Termination
We may suspend, restrict, or terminate your access to all or any part of the Services if we reasonably believe you have breached these Terms, created legal or security risk, failed to pay applicable fees, misused the platform, or where suspension or termination is required for legal, operational, or technical reasons. You may stop using the Services at any time. Termination does not affect rights and obligations accrued before termination, including payment obligations, content licences already granted, and provisions that by their nature should survive.

1.14 Governing Law and Dispute Resolution
Unless a country-specific schedule below provides otherwise or mandatory law in your place of residence requires a different result, these Terms and any non-contractual disputes arising out of or in connection with them are governed by the laws of the Hong Kong Special Administrative Region. The parties agree to attempt to resolve disputes in good faith first by written notice to info@youucheck.com. If a dispute is not resolved informally within a reasonable period, then, to the maximum extent permitted by applicable law, YOUUcheck may elect whether the dispute will be resolved by the courts of Hong Kong SAR or by arbitration seated in Hong Kong SAR under rules and procedures that YOUUcheck reasonably specifies at the relevant time. Where arbitration is selected, the language of the arbitration will be English unless YOUUcheck agrees otherwise, and the arbitral award may be enforced in any court of competent jurisdiction. Nothing in this section limits any mandatory consumer right to bring a claim in another forum where such right cannot be waived, and nothing prevents YOUUcheck from seeking urgent injunctive, interim, or equitable relief in any court of competent jurisdiction to protect our rights, platform security, confidential information, intellectual property, payment rights, users, or the integrity of the Services.

1.15 Changes to These Terms
We may update, amend, supplement, replace, or revise these Terms and the YOUUcheck Privacy and Data Protection Policy from time to time. If we make material changes, we will take reasonable steps to provide notice, such as by posting an updated version through the Services or by other appropriate means. All users and all parties involved in the Services, including content providers, customers, clients, property owners, service providers, contractors, designers, freelancers, companies, invited project participants, account administrators, and other users, must review and accept any amended or updated version of these Terms and the Privacy and Data Protection Policy issued from time to time. Your continued access to or use of YOUUcheck after the effective date of any amendment.

悠评服务条款
本服务条款（“条款”）规范您访问和使用悠评平台、网站、应用程序、工具、数据库、报告、社交功能及相关服务（统称“服务”）。本服务由羽悠设计有限公司（“悠评”、“我们”或“本公司”）运营，该公司位于香港特别行政区，注册地址为香港九龙旺角上海街万事昌商业中心13楼1303室。本条款适用于以任何身份访问或使用服务的每一名个人或组织，包括内容提供者、消费者、客户、业主、服务提供商、承包商、设计师、自由职业者、注册公司、顾问、供应商、受邀项目参与者、账户管理员及任何其他用户。凡创建账户、访问服务、上传内容、提交项目信息、购买或使用悠币，或使用悠评任何功能，即表示您以您使用服务的相应身份同意受本条款及另行制定的《悠评隐私与数据保护政策》约束。
悠评是一个线上项目管理及商业发现平台，旨在帮助业主、客户、设计师、承包商、自由职业者、注册公司及其他相关项目参与者管理项目进度、预算、沟通、记录和报告，并分享与项目相关的照片、短视频、更新和评价等内容。服务的某些部分亦可允许公众发现已在平台登记的个人自由职业者、注册专业人士及公司，并查看其通过服务公开提供的资料。

1.1 资格与授权
您仅可在根据适用法律能够订立具有法律约束力协议的情况下使用服务。如您低于所在司法管辖区的成年年龄，您仅可在父母或法定监护人同意并监督的情况下使用服务，且该父母或法定监护人代表您同意本条款。如您代表公司、合伙企业、工作室、事务所、承包商或其他组织使用服务，您声明并保证您有权使该组织受本条款约束，且本条款中“您”的表述亦包括该组织。

1.2 账户注册与安全
您可能需要创建账户方可访问某些功能。您同意提供准确、最新和完整的信息，并保持该等信息及时更新。您负责维护登录凭证的保密性，对通过您的账户进行的一切活动负责，并在您怀疑账户遭未经授权访问、被滥用或发生影响账户的安全事件时，立即通过info@youucheck.com通知我们。

1.3 服务功能与可用性
我们可随时新增、移除、修改、暂停或终止服务的任何部分，包括与项目管理、社交发布、公司列表、消息、预算工具、报告生成、代币使用、集成及账户等级相关的功能。在可行情况下，我们将尽合理努力就重大不利变更发出通知，但我们不保证服务或任何特定功能在任何国家或地区均不间断可用。

1.3A 平台角色；不对用户合同、报价或项目履约负责
悠评是一个技术平台，提供工具供用户上传和管理内容，通过日历及项目管理功能跟进项目进度，更新报价或项目项目记录，与相关项目参与者沟通，保存记录，并访问平台生成的报告或数据库功能。除非另有单独书面协议明确约定，悠评本身并不提供设计、承包、施工、项目管理、监督、检查、认证、代理、经纪、保险、托管、付款担保、法律、财务或专业顾问服务。
悠评不是、亦不负责用户之间订立的任何合同、报价、变更单、发票、付款安排、委任、聘用、项目协议、设计指示、施工工程、材料供应、专业服务或其他交易或关系的一方，包括业主、客户、设计师、承包商、自由职业者、公司、顾问、供应商或其他项目参与者之间的交易或关系。用户自行负责协商、审阅、接受、履行、记录、执行并遵守其自身合同、报价、进度、预算、规格、许可证、许可、专业职责、保险、税务义务、安全要求及法律义务。
任何通过服务创建、上传、变更、批准、分享或依赖的报价、预算、日历条目、进度、项目项目、变更、进度更新、消息、上传文件、照片、视频、报告、评价、评分、公司资料、自由职业者资料或其他材料，均为用户提供或经平台处理的信息，并不构成悠评的批准、背书、核实、认证、专业意见或责任承担。用户在据此采取行动前，必须自行核实所有项目信息、合同条款、价格、数量、期限、工作质量、资质、许可证、许可、现场条件、法律要求及专业意见。
在适用法律允许的最大范围内，悠评不对因用户合同、用户内容、用户沟通、项目履约、报价更新、日历使用、评分、评价、排名或依赖服务中可用信息而引起或与之相关的任何损失、损害、争议、延误、缺陷、未付款、多付款、少付款、错误报价、成本超支、进度变更、错过期限、施工质量不佳、设计缺陷、不安全工程、监管不合规、上传内容不准确、资料误导、用户不当行为或交易失败承担责任。我们可在认为适当时协助记录调取、内容管理、投诉处理或平台执行，但并无义务这样做。

1.4 悠币（Tickens）、付费服务、计费与退款
服务的某些功能需要付款，包括购买及使用平台代币。“悠币”是悠评（YOUUcheck）平台使用的代币名称，对应英文所称“Tickens”。购买悠币及使用付费功能的付款，属于为访问及使用悠评平台服务而支付的服务费用，包括合资格的项目管理服务期限及我们不时指定的其他服务功能。悠币可用于我们不时指定的合资格功能，包括获取项目管理服务期限，以及生成或取得与项目相关的报告。悠币仅为许可使用，并非出售；其不具有现金价值，不属于银行存款，除非适用法律另有要求，不得兑换现金，亦不构成个人财产。除非我们另有说明，预付购买但尚未使用的悠币自购买日起一年后到期。我们可在适用法律允许的范围内，自行决定悠币及相关付费功能的定价、组合、服务兑换规则及资格标准。
付款可由第三方服务提供商处理，包括AsiaPay。提交付款资料即表示您授权相关付款处理机构及我们收取适用费用、税项及收费。您使用第三方付款服务可能须受该等服务提供商另行制定的条款约束。在付款处理由第三方处理机构执行的情况下，我们不存储完整的支付卡资料。
仅在用户误购悠币且该等悠币尚未被使用的情况下，方可申请退款。一旦悠币被用于开启、启用、延长或访问项目管理服务期限，相关悠币即视为已消耗，且不予退款，除非适用法律另有强制要求。如您认为自己误购了悠币，您必须在相关购买后7日内电邮至info@youucheck.com，说明误购情况，并提供足够资料以便我们识别相关交易。对于其他用户未向您付款、项目一方未履行义务，或您对其他用户或第三方提供的服务、工程、报价、项目结果、沟通、评分、评价或履约表现不满意的情况，我们不提供退款。本条不限制您根据适用法律享有的任何不可排除的消费者权利或救济。

1.5 用户内容及平台许可
您可通过服务上传、提交、发布、存储、传输或分享内容，包括项目记录、进度、预算、消息、帖子、评论、公司资料、照片、视频、文件、评价及其他材料（统称“用户内容”）。就您与我们之间而言，您保留对用户内容的所有权；但您授予我们一项非排他、全球性、免版税、可转让、可再许可的许可，使我们可在为运营、保障、改进、支持、备份、管理、分析、推广和提供服务，以及遵守法律所合理必要的范围内，托管、存储、复制、处理、改编、发布、展示、分发、传播及以其他方式使用该等用户内容。
您声明并保证，您拥有上传和使用用户内容以及授予本条款所述权利所需的一切权利、同意、许可及法律依据。您仍须对您的用户内容及提交或分享该等内容所产生的后果承担全部责任。如我们认为用户内容违反本条款、我们的政策、适用法律、第三方权利，或影响服务的安全、完整性或运营，我们可移除、限制、审查或禁用该等用户内容。

1.6 评估、评分、验证及排名
悠评可提供评估及评分系统，允许合资格客户、业主或其他获授权项目相关方在项目进行期间及项目完成后提交评估。评分可包括以5星制为基础的总体评分，以及我们不时引入的额外分类评分、文字评论及其他结构化反馈栏位。提交评分或评价即表示您声明并保证，该评估真实、基于真实项目经验，且不包含虚假、误导、诽谤、报复性、辱骂性或违法内容。
在我们认为有必要评估真实性、相关性、重复性、利益冲突、可疑活动、操纵行为、政策合规、法律合规或平台完整性时，悠评可审查、核实、管理、延迟发布、拒绝、移除、调整可见性或以其他方式处理评分及评价。我们可使用自动化工具、人工审查、项目记录核查、账户资料、支持文件、使用模式及其他信号，以评估所提交评分是否看来有效。我们不保证任何评分会被发布、保留、加权或以原提交形式展示。
经验证的评分及相关评分数据可存储于悠评数据库，并用于生成摘要、资料评分、基准指标，以及针对项目、服务提供者、公司、类别或通过服务提供的其他实体或分组的排名列表。悠评可自行决定任何评分、指数或排名的方法、权重、资格标准、类别、显示格式、更新频率及发布规则，并可不时更改该等方法，以提升公平性、可靠性及实用性。排名和评分仅为信息工具，并不构成保证、背书、认证或专业意见。

1.7 公司列表、公开信息及社交功能
悠评可包含公司列表、个人或公司资料、搜索、推荐、公开联系方式或发现功能。公开可见信息可包括公司名称、业务描述、服务类别、项目展示、评价，以及账户持有人选择发布或授权我们展示的其他内容。您必须确保您提供的任何公司或个人资料合法、准确、不具误导性，并保持更新。我们可自行决定对列表及社交内容进行标示、排名、展示、降级、暂停或移除，包括在法律合规、用户信任、安全或平台完整性所需时。

1.8 可接受行为
您必须仅为合法目的并遵守本条款及下文《可接受使用政策》使用服务。不限于此，您不得滥用服务、干扰平台安全、上传违法或侵权材料、冒充他人、未经授权抓取受保护数据、以欺骗方式操纵项目或公司信息、传播恶意软件，或以可能损害我们、我们的用户、第三方或公众的方式使用服务。

1.9 第三方服务
服务可能与第三方服务、内容、软件、设备、托管服务提供商、付款处理机构、通讯渠道及其他工具互操作、链接或依赖该等第三方服务。我们不对第三方提供内容的可用性、准确性、安全性、合法性或性能负责，您使用该等服务可能须受第三方另行制定的条款及隐私惯例约束。

1.10 知识产权

1.11 免责声明
在法律允许的最大范围内，服务按“现状”及“可用”基础提供。尽管我们在提供服务时会使用合理的谨慎和技能，但我们不保证服务不间断运行、完全准确、在所有地点均可用、与所有设备兼容，或服务不会出现错误、延迟、数据丢失或安全漏洞。除非另有明确说明，悠评不通过平台提供专业法律、财务、工程、施工、设计或监管意见。

1.12 责任限制
在适用法律允许的最大范围内，悠评及其董事、高级职员、雇员、关联方、许可方或服务提供商均不对因服务或本条款引起或与之相关的任何间接、附带、特殊、后果性、惩罚性或惩戒性损害，或任何利润、收入、数据、商誉、机会损失或业务中断承担责任。我们就因服务引起或与之相关的索赔承担的累计责任，不超过以下两者中较高者：（a）您在引发索赔的事件发生前6个月内就引发索赔的特定付费服务向我们支付的金额；或（b）100美元；但不可排除法律要求更高金额的除外。
本条款中的任何内容均不排除或限制因欺诈、欺诈性虚假陈述、因疏忽造成的死亡或人身伤害、故意不当行为、在不可排除情况下的重大过失，或任何其他依法不得排除或限制的责任。

1.13 暂停与终止
如我们合理认为您违反本条款、造成法律或安全风险、未支付适用费用、滥用平台，或因法律、运营或技术原因需要暂停或终止，我们可暂停、限制或终止您对全部或部分服务的访问。您可随时停止使用服务。终止不影响终止前已产生的权利和义务，包括付款义务、已授予的内容许可，以及按其性质应继续有效的条款。

1.14 管辖法律与争议解决
除非下列国家或地区特定附表另有规定，或您居住地的强制性法律要求不同结果，本条款以及因本条款引起或与之相关的任何非合同争议均受香港特别行政区法律管辖。双方同意首先通过向info@youucheck.com发出书面通知，以诚信方式尝试解决争议。如争议未能在合理期间内非正式解决，则在适用法律允许的最大范围内，悠评可选择该争议由香港特别行政区法院解决，或由以香港特别行政区为仲裁地的仲裁解决，仲裁规则和程序由悠评在相关时间合理指定。如选择仲裁，仲裁语言为英语，除非悠评另行同意；仲裁裁决可在任何具有管辖权的法院执行。本条不限制任何不可放弃的强制性消费者权利，使其可在其他论坛提出索赔；亦不阻止悠评在任何具有管辖权的法院寻求紧急禁令、临时或衡平救济，以保护我们的权利、平台安全、机密信息、知识产权、付款权利、用户或服务完整性。

1.15 条款变更
我们可不时更新、修订、补充、替换或修改本条款及悠评隐私与数据保护政策。如我们作出重大变更，将采取合理步骤发出通知，例如通过服务发布更新版本或以其他适当方式通知。所有用户及参与服务的各方，包括内容提供者、消费者、客户、业主、服务提供商、承包商、设计师、自由职业者、公司、受邀项目参与者、账户管理员及其他用户，均须不时审阅并接受本条款及隐私与数据保护政策的任何经修订或更新版本。除非适用法律要求另行或明示同意，您在任何修订生效日期后继续访问或使用悠评，即表示接受经修订的文件。

YOUUcheck Terms of Service

User acknowledgement: By creating an account, registering for the Services, uploading content, submitting project information, using project management tools, purchasing or using Tickens, submitting ratings or reviews, participating in a project workspace, viewing or responding to project information, or otherwise accessing or using YOUUcheck in any capacity, all users—including content providers, customers, clients, property owners, service providers, contractors, designers, freelancers, companies, and other project participants—confirm that they have read, understood, and agreed to both the YOUUcheck Terms of Service and the YOUUcheck Privacy and Data Protection Policy.
Amendment acknowledgement: All users and parties involved in the Services must review and accept any amendment, update, supplement, replacement, or revised version of the YOUUcheck Terms of Service and the YOUUcheck Privacy and Data Protection Policy issued from time to time. Continued access to or use of YOUUcheck after an amendment becomes effective constitutes acceptance of the amended documents, except where applicable law requires separate or express consent.

YOUUcheck Terms of Service
These Terms of Service (“Terms”) govern access to and use of the YOUUcheck platform, website, applications, tools, databases, reports, social features, and related services (collectively, the “Services”). The Services are operated by YOUU Limited (“YOUUcheck”, “we”, “us”, or “our”), a company based in Hong Kong SAR with its registered address at RM 1303, 13/F, Multifield Commercial Centre, Shanghai Street, Mongkok, Hong Kong. These Terms apply to every person or organisation that accesses or uses the Services in any role, including content providers, customers, clients, property owners, service providers, contractors, designers, freelancers, registered companies, consultants, suppliers, invited project participants, account administrators, and any other users. By creating an account, accessing the Services, uploading content, submitting project information, purchasing or using Tickens, or using any feature of YOUUcheck, you agree, in the capacity in which you use the Services, to be bound by these Terms and by the separate YOUUcheck Privacy and Data Protection Policy.
YOUUcheck is an online project management and business discovery platform intended to help property owners, clients, designers, contractors, freelancers, registered companies, and other relevant project participants manage project schedules, budgets, communications, records, and reports, and to share project-related content such as photos, short videos, updates, and reviews. Some parts of the Services may also allow the public to discover individual freelancers, registered professionals, and companies that have registered on the platform, and to review profile information made available through the Services.

1.1 Eligibility and Authority
You may use the Services only if you can form a legally binding agreement under applicable law. If you are below the age of majority in your jurisdiction, you may use the Services only with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf. If you use the Services for or on behalf of a company, partnership, studio, firm, contractor, or other organisation, you represent and warrant that you are authorised to bind that organisation to these Terms, and references to “you” will include that organisation.

1.2 Account Registration and Security
You may need to create an account to access certain features. You agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for maintaining the confidentiality of your login credentials, for all activities conducted through your account, and for notifying us promptly at info@youucheck.com if you suspect unauthorised access, misuse, or a security incident affecting your account.

1.3 Service Features and Availability
We may add, remove, modify, suspend, or discontinue any part of the Services at any time, including features related to project management, social posting, company listings, messaging, budgeting tools, report generation, token usage, integrations, and account tiers. We will use reasonable efforts to give notice of material adverse changes where practicable, but we do not guarantee uninterrupted availability of the Services or of any particular feature in any country or region.

1.3A Platform Role; No Responsibility for User Contracts, Quotations, or Project Performance
YOUUcheck is a technology platform that provides tools for users to upload and manage content, follow project schedules through calendar and project management features, update quotations or project item records, communicate with relevant project participants, maintain records, and access platform-generated reports or database features. YOUUcheck does not itself provide design, contracting, construction, project management, supervision, inspection, certification, agency, brokerage, insurance, escrow, payment guarantee, legal, financial, or professional advisory services unless expressly stated in a separate written agreement.
YOUUcheck is not a party to, and is not responsible for, any contract, quotation, variation order, invoice, payment arrangement, appointment, engagement, project agreement, design instruction, construction work, supply of materials, professional service, or other transaction or relationship entered into between users, including between property owners, clients, designers, contractors, freelancers, companies, consultants, suppliers, or other project participants. Users are solely responsible for negotiating, reviewing, accepting, performing, documenting, enforcing, and complying with their own contracts, quotations, schedules, budgets, specifications, licences, permits, professional duties, insurance, tax obligations, safety requirements, and legal obligations.
Any quotation, budget, calendar entry, schedule, project item, variation, progress update, message, uploaded document, photo, video, report, review, rating, company profile, freelancer profile, or other material created, uploaded, changed, approved, shared, or relied on through the Services is user-provided or platform-processed information and does not constitute approval, endorsement, verification, certification, professional advice, or acceptance of responsibility by YOUUcheck. Users must independently verify all project information, contractual terms, prices, quantities, deadlines, work quality, credentials, licences, permits, site conditions, legal requirements, and professional advice before acting on them.
To the maximum extent permitted by applicable law, YOUUcheck is not liable for any loss, damage, dispute, delay, defect, non-payment, overpayment, underpayment, misquotation, cost overrun, schedule change, missed deadline, poor workmanship, defective design, unsafe work, regulatory non-compliance, inaccurate upload, misleading profile, user misconduct, or failed transaction arising from or relating to user contracts, user content, user communications, project performance, quotation updates, calendar use, ratings, reviews, rankings, or reliance on information made available through the Services. We may, but are not obliged to, assist with record retrieval, moderation, complaint handling, or platform enforcement where we consider it appropriate.

1.4 Tickens (悠币), Paid Services, Billing, and Refunds
Certain features of the Services require payment, including the purchase and use of platform tokens. “Tickens” is the token name used on the YOUUcheck platform and corresponds to the Chinese token name “悠币”. Payments for Tickens and paid features are payments for access to and use of YOUUcheck platform services, including eligible project management service periods and other service functions that we specify from time to time. Tickens may be used for eligible functions that we specify from time to time, including access to project management service periods and the generation or acquisition of project-related reports. Tickens are licensed, not sold, have no cash value, are not bank deposits, are not redeemable for money except where required by applicable law, and do not constitute personal property. Unless we specify otherwise, prepaid Tickens expire one year from the date of purchase if they have not been used before that date. We may determine pricing, packaging, service conversion rules, and eligibility criteria for Tickens and related paid features at our discretion, subject to applicable law.
Payments may be processed by third-party providers, including AsiaPay. By submitting payment details, you authorise the relevant payment processor and us to charge the applicable fees, taxes, and charges. Your use of third-party payment services may be subject to separate terms imposed by those providers. We do not store full payment card data when payment processing is handled by a third-party processor.
Refunds are available only where a user mistakenly purchases Tickens and requests a refund before those Tickens have been used. Once Tickens are used to open, activate, extend, or access a project management service period, the relevant Tickens are treated as consumed and are non-refundable, except where a refund is required by applicable law. If you believe you mistakenly purchased Tickens, you must email info@youucheck.com within 7 days after the relevant purchase, explain the mistake, and provide sufficient information for us to identify the transaction. No refund will be provided because another user fails to pay you, because a project party does not perform its obligations, or because you are not satisfied with services, work, quotations, project outcomes, communications, ratings, reviews, or performance provided by another user or third party. Nothing in this section limits any non-excludable consumer rights or remedies that you may have under applicable law.

1.5 User Content and Platform Licence
You may upload, submit, publish, store, transmit, or share content through the Services, including project records, schedules, budgets, messages, posts, comments, company information, photos, videos, documents, reviews, and other materials (collectively, “User Content”). You retain ownership of your User Content as between you and us, but you grant us a non-exclusive, worldwide, royalty-free, transferable, sublicensable licence to host, store, reproduce, process, adapt, publish, display, distribute, communicate, and otherwise use that User Content as reasonably necessary to operate, secure, improve, support, back up, moderate, analyse, promote, and provide the Services, and to comply with law.
You represent and warrant that you have all rights, consents, permissions, and legal bases necessary to upload and use your User Content and to grant the rights described in these Terms. You remain solely responsible for your User Content and for the consequences of submitting or sharing it. We may remove, restrict, review, or disable User Content if we believe it violates these Terms, our policies, applicable law, third-party rights, or the safety, integrity, or operation of the Services.

1.6 Evaluation, Ratings, Validation, and Rankings
YOUUcheck may provide an evaluation and rating system that allows eligible clients, property owners, or other authorised project stakeholders to submit assessments during the progress of a project and after project completion. Ratings may include an overall score based on a 5-star system, together with additional category-based scoring, written comments, and other structured feedback fields that we may introduce from time to time. By submitting a rating or review, you represent and warrant that your assessment is honest, based on genuine project experience, and does not contain false, misleading, defamatory, retaliatory, abusive, or unlawful content.
YOUUcheck may review, verify, moderate, delay publication of, reject, remove, adjust the visibility of, or otherwise manage ratings and reviews where we believe this is necessary to assess authenticity, relevance, duplication, conflicts of interest, suspicious activity, manipulation, policy compliance, legal compliance, or platform integrity. We may use automated tools, manual review, project record checks, account information, supporting documents, usage patterns, and other signals to evaluate whether submitted ratings appear valid. We do not guarantee that any rating will be published, retained, weighted, or displayed in the form originally submitted.
Validated ratings and related scoring data may be stored in YOUUcheck’s databases and used to generate summaries, profile scores, benchmark indicators, and ranking lists for projects, service providers, companies, categories, or other entities or groupings available through the Services. YOUUcheck may determine the methodology, weighting, eligibility criteria, categories, display format, update frequency, and publication rules for any score, index, or ranking in its discretion, provided that we may change such methodology from time to time to improve fairness, reliability, and usefulness. Rankings and scores are informational tools only and do not constitute guarantees, endorsements, certifications, or professional advice.

1.7 Company Listings, Public Information, and Social Features
YOUUcheck may include company listing, profile, search, recommendation, public contact, or discovery features. Publicly visible information may include company names, business descriptions, service categories, project showcases, reviews, and other content that account holders choose to publish or that they authorise us to display. You must ensure that any company or profile information you provide is lawful, accurate, not misleading, and kept up to date. We may label, rank, display, de-rank, suspend, or remove listings and social content in our discretion, including where necessary for legal compliance, user trust, safety, or platform integrity.

1.8 Acceptable Conduct
You must use the Services only for lawful purposes and in compliance with these Terms and the Acceptable Use Policy below. Without limitation, you must not misuse the Services, interfere with platform security, upload unlawful or infringing material, impersonate others, scrape protected data without authorisation, manipulate project or company information in a deceptive way, distribute malware, or use the Services in a manner that could harm us, our users, third parties, or the public.

1.9 Third-Party Services
The Services may interoperate with, link to, or rely on third-party services, content, software, devices, hosting providers, payment processors, communications channels, and other tools. We are not responsible for the availability, accuracy, security, legality, or performance of third-party offerings, and your use of them may be subject to separate third-party terms and privacy practices.

1.10 Intellectual Property
The Services, including software, design, branding, text, interfaces, databases, selection and arrangement of content, and all related intellectual property rights, are owned by or licensed to YOUUcheck and are protected by applicable laws. Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you by implication, estoppel, or otherwise. You may not copy, modify, reverse engineer, create derivative works from, distribute, sell, lease, or exploit any part of the Services except as permitted by law or with our prior written consent.

1.11 Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. While we use reasonable care and skill in providing the Services, we do not guarantee uninterrupted operation, complete accuracy, availability in every location, compatibility with every device, or that the Services will be free from bugs, delays, errors, data loss, or security vulnerabilities. YOUUcheck does not provide professional legal, financial, engineering, construction, design, or regulatory advice through the platform unless expressly stated otherwise.

1.12 Limitation of Liability
To the maximum extent permitted by applicable law, neither YOUUcheck nor its directors, officers, employees, affiliates, licensors, or service providers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, opportunities, or business interruption arising out of or relating to the Services or these Terms. Our aggregate liability for claims arising out of or relating to the Services will not exceed the greater of: (a) the amount you paid to us for the specific paid service giving rise to the claim during the 6 months before the event giving rise to liability; or (b) USD100, except where a higher amount is required by non-excludable law.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, wilful misconduct, gross negligence where non-excludable, or any other liability that cannot lawfully be excluded or limited.

1.13 Suspension and Termination
We may suspend, restrict, or terminate your access to all or any part of the Services if we reasonably believe you have breached these Terms, created legal or security risk, failed to pay applicable fees, misused the platform, or where suspension or termination is required for legal, operational, or technical reasons. You may stop using the Services at any time. Termination does not affect rights and obligations accrued before termination, including payment obligations, content licences already granted, and provisions that by their nature should survive.

1.14 Governing Law and Dispute Resolution
Unless a country-specific schedule below provides otherwise or mandatory law in your place of residence requires a different result, these Terms and any non-contractual disputes arising out of or in connection with them are governed by the laws of the Hong Kong Special Administrative Region. The parties agree to attempt to resolve disputes in good faith first by written notice to info@youucheck.com. If a dispute is not resolved informally within a reasonable period, then, to the maximum extent permitted by applicable law, YOUUcheck may elect whether the dispute will be resolved by the courts of Hong Kong SAR or by arbitration seated in Hong Kong SAR under rules and procedures that YOUUcheck reasonably specifies at the relevant time. Where arbitration is selected, the language of the arbitration will be English unless YOUUcheck agrees otherwise, and the arbitral award may be enforced in any court of competent jurisdiction. Nothing in this section limits any mandatory consumer right to bring a claim in another forum where such right cannot be waived, and nothing prevents YOUUcheck from seeking urgent injunctive, interim, or equitable relief in any court of competent jurisdiction to protect our rights, platform security, confidential information, intellectual property, payment rights, users, or the integrity of the Services.

1.15 Changes to These Terms
We may update, amend, supplement, replace, or revise these Terms and the YOUUcheck Privacy and Data Protection Policy from time to time. If we make material changes, we will take reasonable steps to provide notice, such as by posting an updated version through the Services or by other appropriate means. All users and all parties involved in the Services, including content providers, customers, clients, property owners, service providers, contractors, designers, freelancers, companies, invited project participants, account administrators, and other users, must review and accept any amended or updated version of these Terms and the Privacy and Data Protection Policy issued from time to time. Your continued access to or use of YOUUcheck after the effective date of any amendment.
